End-User License Agreement

Last updated

This End-User License Agreement (“Agreement”) is between FlowPrinter (“FlowPrinter”, “we”, “us”) and the business that opens a store on FlowPrinter (“you”). It sets out what you may do with the FlowPrinter software and what you may not.

You accept it by ticking the box when you open your store, or when we ask you to accept a new version in your dashboard. If you do not agree, do not open a store or use the software. It works alongside our Terms of Service and Privacy Policy.

Your license

While your store is open and your subscription or trial is in good standing, FlowPrinter grants you a limited, non-exclusive, non-transferable, revocable license to use the FlowPrinter software — the storefront, the admin dashboard and the features your plan includes — to run your own print and retail business.

The software is licensed, not sold. You get the right to use it as this Agreement describes, and no ownership of it or of any copy of it.

Who may use it

The person who accepts this Agreement must be authorized to bind the business. You may let your own employees and contractors use the dashboard through their own team logins, in the roles you give them. You are responsible for what they do with it and for removing their access when they leave.

Logins are personal. Do not share one login between several people.

What you may not do

Except where the law allows it regardless of this Agreement, you may not:

  • copy, modify, translate or make derivative works of the software;
  • reverse engineer, decompile or disassemble it, or try to discover its source code;
  • sell, rent, lease, sublicense or otherwise make the software available to anyone outside your business;
  • get around plan limits, feature locks, usage limits or security controls;
  • use the software to build a competing product, or benchmark it for publication without our written consent;
  • remove or obscure FlowPrinter’s notices, marks or branding where the software displays them;
  • use the software in a way that breaks the law or the acceptable-use rules in the Terms of Service.

Ownership

FlowPrinter and its licensors own the software, its design, documentation, name and logo, and all rights in them. Anything not expressly granted to you here is reserved.

Your store’s content — your branding, products, prices, and your customers’ orders and artwork — is yours, as the Terms of Service describe. This Agreement does not give us any further rights to it.

If you send us suggestions or feedback, we may use them to improve FlowPrinter without owing you anything for them.

Third-party services and components

The software works with services you connect under your own agreements with their providers — Stripe for payments, text-message providers, PrintJobFlow and others. Those agreements govern those services. The software also includes open-source components, each used under its own license; nothing in this Agreement limits your rights under those licenses.

Updates

FlowPrinter is hosted, so updates reach you automatically. We may add, change or remove features over time. If a change removes something your paid plan clearly promised, the Terms of Service say what happens.

Term and termination

This Agreement lasts while you have a store on FlowPrinter. It ends automatically when your store is closed, and we may end it if you break it and do not put things right after we tell you, or straight away for a serious breach.

When it ends, your license to use the software ends too. Sections 4, 8, 9 and 11 continue after it ends. What happens to your data is set out in the Terms of Service and Privacy Policy.

Disclaimer of warranties

To the extent the law allows, the software is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that it will be error-free or uninterrupted, or that it will catch every problem with a customer’s artwork.

Limitation of liability

To the extent the law allows, FlowPrinter is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of the software. Our total liability under this Agreement is limited to the amount you paid FlowPrinter in the 12 months before the claim arose.

The same limits in the Terms of Service apply to this Agreement; the two are not added together.

Changes to this Agreement

We may update this Agreement. Each version is dated at the top of this page. When the changes are substantive, we will ask you to review and accept the new version the next time you open your dashboard; until you do, you may not be able to use the dashboard. We record which version you accepted and when.

Governing law, the rest of our agreement, and contact

This Agreement is governed by the laws of the State of Tennessee, United States. Together with the Terms of Service and Privacy Policy, it is the whole agreement between you and FlowPrinter about the software. If it conflicts with the Terms of Service on the license to use the software, this Agreement controls; on anything else, the Terms of Service control.

If a part of this Agreement cannot be enforced, the rest still applies. Not enforcing a part straight away does not waive it. You may not transfer this Agreement without our written consent; we may transfer it to a successor to our business.
